Terms of Service

Welcome to SoundPoints. These Terms of Service (“Terms”) govern your access to and use of the SoundPoints mobile app, the website at soundpoints.com, and related services (together, the “Service”) operated by SoundPoints (“SoundPoints,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. By using the Service you represent that you meet this requirement and that any information you provide is accurate.

2. Your account

You are responsible for the activity that happens under your account and for keeping your credentials confidential. Notify us promptly at hello@ministryofproduct.com if you believe your account has been compromised. We may suspend or terminate accounts that violate these Terms, as described in Section 9.

3. Using the Service

The Service lets you discover audio content tied to physical locations and, if you sign up as a creator, publish your own. You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use of the Service.

In particular, you agree not to:

• upload or publish content you do not have the right to share, or that infringes copyright, trademark, privacy, or other rights;
• upload content that is illegal, harassing, hateful, deceptive, sexually explicit involving minors, or that incites violence;
• publish Soundpoints at locations where doing so would be unsafe, trespassory, or otherwise harmful;
• attempt to spoof location, bypass unlock rules, or otherwise abuse the proximity mechanics of the Service;
• probe, scan, or test the vulnerability of the Service, or interfere with its operation;
• scrape, copy, or redistribute content from the Service except as expressly permitted.

4. Creator content and license

You retain ownership of the audio, images, text, and other materials you submit to the Service (“Creator Content”). By submitting Creator Content, you grant SoundPoints a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and distribute that content as needed to operate, promote, and improve the Service. This license ends when you or we remove the content, except to the extent copies are retained in backups or are required by law.

You are solely responsible for the Creator Content you publish. You represent that you have all rights needed to grant the license above and that the content does not violate these Terms or applicable law.

We may remove Creator Content that we believe, in our sole discretion, violates these Terms or could expose SoundPoints, its users, or third parties to harm or legal risk.

5. Purchases and creator earnings

Some Soundpoints and Collections are paid. Payments are processed by Stripe and are governed by Stripe’s terms in addition to ours. When you purchase a Collection, you receive a non-transferable right to access its contents through your account.

Creators receive a share of net revenue from paid Collections, payable through Stripe Connect. The current revenue share is published on soundpoints.com and may be updated from time to time, with reasonable notice for material changes. Payouts are subject to Stripe’s thresholds, fees, and identity-verification requirements.

All sales of digital access are final unless otherwise required by law. If you believe a charge is in error, contact us within 30 days and we will review it in good faith.

6. Location and microphone permissions

The Service uses device location to determine when you are near a Soundpoint and to unlock its audio. It uses microphone access only when you choose to record. You can revoke these permissions at any time in your device settings; doing so will disable the features that depend on them. See our Privacy Policy for details on how we handle this data.

7. Beta status

The Service is currently in beta. Features may change, be added, or be removed without notice. Data loss, downtime, and bugs are more likely than in a mature product; do not rely on the Service as the sole storage location for any content you care about.

8. Intellectual property

Other than your Creator Content, the Service — including its software, design, logos, and other materials — is owned by SoundPoints or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service except as expressly permitted.

9. Suspension and termination

You may stop using the Service at any time and may request account deletion by emailing us. We may suspend or terminate your account, with or without notice, if we believe you have violated these Terms, created risk or legal exposure for SoundPoints, or if we stop offering the Service in your region. On termination, the licenses you have granted us in previously-published Creator Content remain in effect to the extent needed to serve users who already purchased access, but we will stop distributing new copies.

10. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any Creator Content is accurate, safe, or suitable for you.

11. Limitation of liability

To the maximum extent permitted by law, SoundPoints and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the amounts you paid us in the 12 months preceding the claim, or (b) USD $50.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability; in those jurisdictions, the above limitations apply only to the extent permitted.

12. Indemnification

You agree to indemnify and hold harmless SoundPoints from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your Creator Content, your use of the Service, or your violation of these Terms or applicable law.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to their personal jurisdiction and venue. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Effective date” above. Material changes will be communicated through the app, the website, or by email where appropriate. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
